Authorized business use
You must be legally able to enter these terms and authorized to act for the company workspace you create or join. You are responsible for the accuracy of company, investor, legal, financial, and cap-table information entered into Roundly and for maintaining appropriate internal approvals.
Roundly is workflow software
Roundly organizes fundraising operations and prepares reviewable materials. It is not a broker-dealer, investment adviser, bank, law firm, e-signature provider, transfer agent, or source of legal, tax, accounting, or investment advice. You must use qualified professionals for decisions that require those services.
Accounts, connected services, and security
Keep account access secure, use only identities and mailboxes you are authorized to connect, and promptly report suspected misuse. Connected services remain subject to their own terms and may change or become unavailable. Roundly may suspend access that creates a security, legal, or operational risk.
Your content and instructions
You retain ownership of content you provide. You grant Roundly and its service providers the limited permission needed to host, process, transmit, and back up that content to provide the enabled service. You are responsible for having the right to process investor and employee information and to send communications through connected accounts.
AI suggestions and sensitive actions
AI outputs may be incomplete or incorrect and must be reviewed. Do not rely on them as proof of investor interest, executed documents, committed funds, bank receipt, or legal ownership. Sensitive actions remain under administrator control, and users must verify recipients, attachments, financial terms, and source evidence before approval.
Acceptable use
Do not use Roundly to violate law, mislead investors, send spam, infringe rights, gain unauthorized access, distribute malware, evade provider limits, or process information you are not permitted to use. Do not attempt to bypass workspace isolation, approval controls, or audit records.
Availability and liability
Early-access features may change and may experience interruptions. To the extent permitted by law, the service is provided without warranties not expressly stated in a signed agreement, and Roundly is not responsible for indirect or consequential loss. Any negotiated service levels, liability caps, governing law, and dispute terms are stated in your organization's signed agreement or order form.
Questions or termination
You may stop using Roundly and request account deletion subject to lawful retention of financial, legal-document, and audit records. Questions can be sent to support@getroundly.ai.
